Fair, Transparent & Responsible Procurement
This Policy establishes the principles for acquiring goods, works and services for Jopetnah International Limited. Procurement should obtain appropriate quality and value for money while protecting integrity, fairness, safety, sustainability and the Company’s commercial interests.
It applies to directors, employees, departmental heads and any person authorised to request, evaluate, approve, purchase, receive or manage goods and services on behalf of the Company.
How We Make Purchasing Decisions
Value for Money
Consider total value, quality, fitness for purpose, lifecycle cost, delivery, reliability and risk—not price alone.
Fair Competition
Where practical and proportionate, give suitably qualified suppliers a fair opportunity to compete.
Transparency
Document material requirements, quotations, evaluations, approvals, awards and exceptions.
Integrity
Prohibit bribery, kickbacks, collusion, manipulation and improper influence.
Accountability
Separate responsibilities appropriately and ensure purchases receive the required authorisation.
Sustainability
Where relevant, consider environmental, social, labour, safety and ethical factors in sourcing.
Requirements & Specifications
- Define the business need clearly before requesting supplier offers.
- Use objective specifications and evaluation criteria proportionate to the requirement.
- Avoid specifications designed solely to favour a particular supplier unless a legitimate technical or proprietary reason exists.
- Consider budget availability, delivery requirements, quality, risk, warranty, after-sales support and total cost of ownership where relevant.
Competitive and Proportionate Processes
Procurement procedures should be proportionate to value, risk, urgency and complexity. Low-value or routine purchases may use simplified procedures within authorised limits. More significant purchases should ordinarily obtain multiple competitive quotations or proposals and use documented evaluation criteria.
Single-source or direct procurement may be used only where justified by documented circumstances such as genuine urgency, unique capability, compatibility, proprietary rights or absence of reasonable alternatives. The reason and approval should be recorded.
No Improper Influence
- Anyone involved in procurement must disclose actual, potential or perceived conflicts of interest.
- A person with a material conflict should not participate in the affected decision unless an appropriate control has been established.
- Bribes, kickbacks, secret commissions and facilitation payments are prohibited.
- Gifts or hospitality must not influence, or appear to influence, a procurement decision.
- Procurement records must not be falsified, backdated or manipulated.
- Suppliers must not be asked for personal benefits in exchange for Company business.
Responsible Supplier Selection
Depending on the nature and risk of the engagement, the Company may assess supplier identity, legal status, capability, experience, ownership, conflicts, references, compliance, financial capacity, quality, HSE performance and other relevant factors.
Suppliers are expected to comply with applicable law and uphold appropriate standards relating to integrity, labour rights, health and safety, environmental responsibility, confidentiality and quality. Material contracts should include suitable compliance and performance provisions where appropriate.
Delivery, Performance & Payment
- Goods and services should be checked against agreed specifications and delivery requirements.
- Variations should be justified, approved and documented.
- Invoices should correspond to genuine goods or services actually delivered.
- Payments should follow approved terms and appropriate supporting documentation.
- Poor performance, serious non-compliance or misconduct may lead to corrective action, suspension or termination in accordance with the contract and applicable law.
Documentation and Review
Procurement records should be retained appropriately, including requirements, quotations or proposals, evaluations, approvals, purchase orders or contracts, delivery evidence, invoices and material correspondence. Access should be controlled according to the sensitivity of the information.
The Managing Director has overall responsibility for this Policy. Departmental heads are responsible for procurement within their areas, subject to Company approval arrangements. The Policy will be reviewed periodically as the Company’s scale, sectors, locations and risk profile evolve.
